General Terms and Conditions

1. DEFINITIONS

The following definitions apply to the present General Terms and Conditions ("GTCs") governing luggage storage and other different services offered by an "Angel" (as hereinafter defined) to a "Traveler" (as hereinafter defined) via the Platform (as hereinafter defined) belonging to, and managed by the "Company" (as hereinafter defined), available on the Company Website (as hereinafter defined).

"Account": is the access electronic account that Travelers and Angels are required to register to use or provide the Services (as hereinafter defined), use the Platform or certain functionalities of the Website, by means of a secure technology allowing the user to register, access, change and update the Account and related information.

"Account suspension": is the measure implemented by the Company at all cases it ascertains a violation by a Traveler or an Angel, respect to one or more provisions of these GTCs and/or other conditions and/or special conditions binding upon the parties, if any.

"Angel": is the provider of the Luggage Storage Service (as hereinafter defined) and any other additional Different Service (as hereinafter defined), if any, on the Website via the Platform against the Payment (as hereinafter defined) made by a Traveler.

"Angel App": is the special application for Angels only, belonging to the Company, allowing its users to supply the Services to Travelers, perform luggage check-in / check-out procedure and any other procedure needed for the Services, as the case may be.

"App": is the application for smart devices, belonging to the Company, allowing its users to supply and/or require - as the case may be - the Services.

"Company": refers to Lean Team S.r.l., a company incorporated under the laws of Italy, also operating under the brand known as Radical Storage. The Company has been duly authorized by the Angels to provide certain services in the name and on behalf of them, such as presenting Angels’ Services and information, collecting requests of Services from Travelers, managing Online Bookings and cancellations, provide assistance, receive Payments from Travelers, provide any other service as indicated in the written binding agreements and/or special terms and conditions and/or schedules in force between the Company and the Angel.

"Different Service": refers to any other ancillary service rendered by Angels to Travelers, such as printing service, delivery of luggage in a different place, airport transfer etc., other that the Luggage Storage Service.

"Luggage Storage Service" or "LSS": refers to the luggage storage service (this being a set of related operations and services jointly necessary and needed to such purpose) rendered by Angels to Travelers via the Platform against the Payment. Travelers and Angels acknowledge that the Company is not the entity providing the Services (as hereinafter defined), nor bearing any responsibility thereof, it being understood that Services are rendered exclusively by Angels in favor of the Travelers.

"Online Booking": is the system by which and Angel is engaged by a Traveler to provide Services via the Website and Platform, against the related Payment.

"Payment": is the amount paid by the Traveler to an Angel against the Services received. Payments are: (i) based upon type, pieces of bags stored and duration of the Services provided by Angels; (ii) received by the Company; (iii) released by the Company to the Angel once the purchased Services are duly delivered to the Travelers, net of the "Company fee". The Company fee is the compensation due to the Company by the Angels as consideration for certain services performed by the Company under the mandate received from Angels, empowering the Company to undertake actions in the name and on behalf of said Angels, including receiving Payments from Travelers and withhold, from them, the relevant Company fee and/or the entire amount when as the case may be. The Company will issue invoice vis-à-vis the Angel, showing Company fees. 

"Platform": refers to the tool owned and managed by the Company, accessible to Travelers and Angels upon being an Account duly created by them via Website (as hereinafter defined) or via the App and the Angel App.

"Prohibited Item": refers to any goods or materials whose transportation or possession or storage is prohibited by any local law, rule or regulation applicable to the Angel and/or Company /and or Traveler. Prohibited Items are prevented from being stored by Angels and/or anyhow utilized and/or involved while providing Services through the Platform.

"Services": refers both to one or more Luggage Storage Service and/or one or more Different Service.

"Traveler": is the platform user requesting the Angel to render one or more Services via the Website.

"Website": refers to the website radicalstorage.com where the Company Platform is publicly available as well as the Platform and Services are accessible via the App and the Angel App. 

2. STRUCTURE OF THE SERVICES RENDERED

2.1. The Company, having been duly authorized by Angels to provide certain services to them and receive Payments in the name and on behalf of them, matches (i) the offer of Services coming from Angels intended to provide them, with (ii) the demand of Services coming from Travelers intended to receive them. To such end, the Company also provides Angles with Online Booking services and management; promotion of the Services offered by Angels to Travelers including - without limitation to – the execution of commercial agreements with partners aimed at increasing the business of the Angels and/or of the Company; Online Booking cancellation services and management, Guarantee services; Payments management services and certain other services via the Website and Platform, against the payment of a Company fee, paid from the Angels to the Company.

2.2. Both Luggage Storage Services and Different Services are therefore rendered to Travelers by Angels, the latter having full and exclusive responsibility to such regard vis-à-vis Travelers for the proper fulfilment of storage and other services obligation upon Angels.

3. HOW TO REQUEST SERVICES

To enjoy Services rendered by Angels via the Website and Platform, Travelers are requested to create an Account, providing their personal data needed to such purpose. Travelers must be 18 year old or older at the time of their subscription. Also Angels are required to create an Account for the purpose of the supply of the Services and any other related activity.

In no case the Company will be held responsible for the information provided by Travelers which may be erroneous or fraudulent.

4. DESCRIPTION OF THE LUGGAGE STORAGE SERVICE

The Luggage Storage Service rendered by an Angel in favor of a Travelers consists in a combination of certain services, including the following ones: (i) luggage collection; (ii) luggage storage; (iii), return of luggage to Travelers. Luggage Storage Services are rendered at the Angel’s place, which is selected by the Traveler via the Platform, for the days and times indicated during the Online Booking process.

5. BAGS CHECK-IN/CHECK-OUT

Once the Online Booking is made, a confirmation receipt containing a QR code shall be available both on the Website and/or App and/or Angel App. Travelers are required to just show the receipt at Angel’s place to check-in / check-out bag/bags. In order to facilitate baggage identification and its return (check-out procedure), an identification tag on the concerned bag/bags may be applied by the Angel.

6. ITEMS SUITABLE FOR STORAGE

6.1 Under the LSS, pieces of luggage, baggage, bags, backpack and other kind of packages suitable for storage at Angel’s opinion, containing clothes, merchandise or any other item belonging to the Traveler (except for the Prohibited Items) may be delivered from Travelers to the Angels, according to the present GTCs.

6.2 Travelers assumes full liability with regards to the suitability of items and any other personal belongings for storage, as well as – by accepting the present GTCs – they assure their full compliance to any applicable laws and regulation providing legal requirements of any item contained in the pieces of luggage delivered. In no case neither the Company, nor Angels, may be considered responsible for any consequence arising from the breach of Travelers’ obligation to fully comply with applicable laws, regulations and these GTCs. Travelers shall keep the Company and/or Angels harmless from any damage, expense and payment suffered by Company and/or Angel, as a consequence of any third party claim and/or any public or private institution claim or request of payment due to Traveler’s breach of applicable laws and regulations and the present GTCs. 

7.PROHIBITED ITEMS

7.1 Angels will not permit Travelers to storage Prohibited Items, the latter being any item prohibited under any applicable laws and regulation, which is - or whose packaging may be – considered hazardous and/or illegal and/or unlawful and/or harmful to humans and/or to environment and/or able to damage other pieces of stored luggage and/or any other public or private property and/or suitable to violate any applicable laws and regulations. 

7.2 Prohibited Items include, without limitation to, plants and live or dead animals; degrees e negotiable certificates (bills of lading); money (paper money, coins, credit cards, and traveler's cheques); other non-negotiable money; material that could be defined as pornographic or indecent; material containing weapons or firearms, software containing high-value information; technological material (iPhone, iPad, Tablet, PC, smartphones); waste; political material; any other dangerous material; drugs or psychotropic substances; works and/or pieces of art; antiques; gold, silver in any form; and precious stones; bulk goods; documents; public or private offers of investments;  revenue stamps; food stamps and fuel vouchers and any other item which is, from time to time, included into this list by the Company at its sole discretion. Travelers, by accepting the present GTCs, shall at the same time agree to accept any further extension of this list made by the Company at its sole discretion.

8. ANGELS’ OBLIGATIONS DURING THE SERVICES

8.1. Travelers and Angels acknowledge that (i) the custody of the pieces of luggage delivered by Travelers to Angels, as well as the supply of any Different Service, are obligations and duties under the exclusive control and responsibility of the Angels, without any liability upon the Company to such regard; (ii) all obligations upon them for the proper and dully supply of the Services, shall be performed in the best way available and shall assure the enjoyment of Travelers thereof.

8.2. At all times Angels will act in compliance with (i) any Angels’ local applicable law and regulations (including tax ones); (ii) these GTCs and any special conditions in force, doing all is necessary and/or required under applicable laws or contracts, respect to the Services. Angels shall be the sole entity responsible to comply with any and all applicable local laws and regulations, including without limitation tax laws, assuring that any and all tax, duties and any other amount due to tax authority of such country in respect of the Payments received, is duly, fully and timely paid.

9. LIABILITY OF THE COMPANY

9.1 LIMITATIONS

THE PRESENT LIMITATIONS OF RESPONSIBILITY ARE ESSENTIAL ELEMENT OF THESE GTCs TO BE AGREED UPON BY TRAVELERS AND ANGELS FOR THE VALIDITY OF ANY COMMERCIAL RELATIONSHIP BETWEEN THEM AND THE COMPANY. BY ACCEPTING THESE GTCs, TRAVELERS AND ANGELS AGREE THAT ANY RISK RELATED TO OR ANYHOW CONNECTED - DIRECTLY AND/OR INDIRECTLY - (I) TO THE USE OF THE PLATFORM AND WEBSITE; (II) TO THE PREPARATION, PERFORMANCE OF AND ANY OTHER ACTIVITY CONSISTING IN, CONCERNING OR CONNECTED TO THE SERVICES, REMAINS RESPECTIVELY WITH TRAVELERS AND ANGELS, AS THE CASE MAY BE, AND BETWEEN THEM. SAVE AS HEREBY PROVIDED, THE COMPANY UNDER NO CIRCUMSTANCES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL AND ANY OTHER KIND OF DAMAGES OR LOSS, INCLUDING LOSS OF PROFITS AND/OR ANY OTHER KIND OF REMUNERATION, LOSS OF DATA, LOSS OF GOODWILL OF ANY BUSINESS, INTERRUPTION OF ACTIVITY, DAMAGES FOR PERSONAL, BODILY INJURY, DISTRESS OF ANY KIND AND ANY OTHER AMOUNT ARISING OUT FROM - OR IN CONNECTION WITH - THE PLATFORM, THE WEBSITE AND THE SERVICES. EXCEPT FOR THE AMOUNT DUE TO ELIGIBLE TRAVELERS UNDER THE COMPANY GUARANTEE, IF ANY, IN NO CASE THE COMPANY SHALL HAVE ANY LIABILITY VIS-à-VIS THE TRAVELERS AND/OR THE ANGELS IN CONNECTION WITH THE GTCs, WEBSITE, PLATFORM AND SERVICES.

9.2 Company Guarantee

9.2.1. Subject to the limitations, exclusions and conditions herein contained, the Company will pay up to a maximum of € 3000 per claim to repair or replace (at Company discretion) the damaged or lost bag ("Company Guarantee") upon Traveler’s claim (the "Claimant"). Replacement items will be valued at their actual cash value, that is their current market value minus wear and tear. The sentimental value of items shall not be relevant to their valuation.

9.2.2. The Company shall not be subject to any claim concerning bags, their content, the valuables and other belonging eventually contained in the stored bags, exceeding the indicated amount of € 3000 (three thousand). Under no circumstances the Company and/or Angels shall be responsible for any shipping expenses of the bag due to the Travelers’ breach of these GTCs.

9.2.3. The Company reserves its right to cancel at its sole discretion the Company Guarantee at any time before a claim is made. In the event of cancellation, no new claims will be permitted, but any claims under the Guarantee which are already in process will be considered.

9.2.4. Where the Company modifies the Guarantee, it will display a notification on the Website.

9.2.5. Company Guarantee does not constitute a contract of insurance, nor it should prevent Travelers from executing any appropriate insurance covering begs. 

9.2.6. The Company will decide at its sole discretion whether any claim duly made pursuant to this clause is eligible for payment. Claims are subject to the limitations hereby provided.

9.3 Requirements and limitations for claims

9.3.1. If, in the Company’s reasonable opinion, Travelers (i) are not fully compliant with any and all the following requirements; and/or (ii) cease to be compliant with the following requirements at any time during the claim, then no Guarantee can be invoked and no payment will follow.

9.3.2. Claimants assuming their bags and/or content have been damaged during the Services must:

(a) have suffered an actual loss or damage to their property during the period of validity of an Online Booking and must be able to prove so;

(b) be 18 years old or over and be registered users of the Website;

(c) have booked in compliance with these GTCs and not have caused any breach thereof;

(d) have provided a complete written and signed claim request via email, within 2 days from the damage or loss, attaching pdf copy of the ID or passport, and containing complete description of the loss or damage suffered, including dates (which may be estimated where exact dates are impossible to confirm), nature and cause thereof, and including proof of ownership, date of acquisition, physical condition and supporting evidence such as receipts, inventories, quotes for repair work etc., plus the claimed value of any high-value items lost or damaged. A valuation of any item or items claimed for from an independent expert - or – a loss assessment from an independent expert where the Company believes it is necessary where the above conditions and proof of ownership are not met by the Claimant, may be required by Company at Claimant’ cost;

(e) have previously filed a claim to any and all their possible existing insurers covering the claiming damage and waited official communication stating that the insurer had denied the compensation for damages;

(f) have not received any payment or amount whatsoever from any insurer or any other parties, in respect of the loss for which the claim is addressed;

(g) have previously tried to reach a mutual agreement as to liability and appropriate compensation with the Angel; or any responsible subject;

(h) if requested to do so by the Company, have disclosed any relevant communications from the insurance company – if an insurance covering the bags is in force (to the extent it is permitted to do so under any confidentiality obligations) including without limitation correspondence regarding any claims made against any insurance policy in respect of the loss or damage claimed for;

(i) at the Company’s discretion, (1) have signed an official statement giving full details and dates of what, if any, action the Claimants have taken to resolve the matter, including without limitation to, negotiations with the other party to the booking, claims against insurance policies and police reports, and all communications with the foregoing, including responses received; (2) as the case may be, have submitted a data access request, at their own cost, to fraud prevention agencies or insurance information exchanges, and are disclosed to the Company all information received (to the extent it is permitted to do so under any confidentiality obligations);

(j) have done their best efforts to resolve the situation, avoid damage and recover losses. To such purpose, Claimant shall provide full cooperation including, without limitation to: (1) cooperation to facilitate investigations, including giving permission to the Company for keeping information, including the case where the person making the full claim is the other party with respect to which the Online Booking was made; (2) stay available to conduct interview(s), either by the Company or via a representative, with either party or with any relevant third party, and Claimants hereby agree to use best efforts to facilitate such activity; (3) permit inspections (either by the Company or using an expert to carry out the inspection on Company behalf) any damaged items or any remaining items or the storage space or premises upon reasonable notice.

9.3.3. Failure to comply with the deadlines and specifications above, will invalidate the Guarantee. Furthermore, in order for a claim to be accepted and compensated by the Company, all the following conditions must be met:

(i) the Company must not have any reason to suspect Claimant’s dishonesty. Guarantee will not apply, and the relevant Account will be suspended, at all cases the Company discovers or reasonably suspects that the Claimant had intended or attempted to abuse the Guarantee;

(b) the Claimant must have not been involved before in any fraudulent or illegitimate activity related to false insurance claims or similar dishonesty;

(c) the claimed damage or loss must not be the result of any illegal or dishonest act or omission by the Claimant;

(d) Claimants must have duly cooperated with all investigations and requests made by the Company in carrying out its investigations and obligations under this clause, as well as it must have not breached any other provision of the GTCs.

9.3.4. Without prejudice to the requirements above, where criminal acts or damage or any other illegal activity of any nature is suspected or alleged to have caused bags damage or theft, then the Claimants, for the purposes of the claim, must have previously: (a) contacted the police within 48 hours of discovery of the loss or damage, and have waited to receive an official communication of the outcome of any criminal investigation; (b) sent via email copy of the documentation received from police; (c) filed a claim for compensation to any insurer or other body (including without limitation government bodies or schemes) or person which is or becomes available following such investigation, if any. Any activity of contacting and updating with policy shall be exclusively a Traveler’s duty. 

9.4 Angels’ role during the claim

At all cases facts causing a Traveler claim or that may have caused such a claim occur, the Angel shall inform the Company immediately. Where a Claim is considered Eligible by the Company according to this Article 9, the relevant payment in favor of the claiming Traveler will follow without prejudice to Company’s right to be reimbursed and be kept harmless by the Angel for all those payments made by the Company to Travelers as a consequence of a serious breach of Angel’s obligations under the GTCs and the present conditions (e.g., without limitation to, the case where bags are stored by the Angel in an unsafe and/or unsuitable place for storage).

9.5. Outcome of the Claim

9.5.1. Having all conditions above been met by the Claimant, the Company will contact the Claimant as soon as possible and at any case by no later than 2 days from the receipt of the last information needed to the Company to evaluate the claim, to advise whether the claim is eligible for consideration. To such end, the Company shall provide one of the following three responses:

- "Claim Invalid", meaning that the claim is not covered by the Guarantee for the reason(s) stated;

- "Claim Pending", meaning that the claim is on hold until the steps outlined in the response are taken and pursued to a conclusion. This will normally mean that the outcome of a claim against insurance or a criminal investigation is awaited. It is applicant responsibility to maintain contact with the police and/or insurance company and/or any other agent or applicable entity to follow the process of the investigation, criminal proceedings or claim; or

- "Claim Eligible", meaning that the Company is prepared to consider the claim. The Claimant will have 10 day time from receipt of Company response to indicate details for payment. Where details for payment are not timely communicated, Guarantee shall not apply.

9.5.2. No further application for Guarantee can be addressed to the Company for the same damage or loss, once the latter has reasonably rejected the first application.

9.6 Exclusions

The Guarantee does not cover or apply to any claim:

9.6.1 in respect to which the Company has not received a list of items signed by party requesting such a claim in which all items are individually listed along with their estimated value;

9.6.2 not reported in accordance to this clause and/or in compliance with any other provision of these GTCs;

9.6.3 in excess of any limit set out above, arising out of one or more bookings entered into by the Claimant;

9.6.4 regarding items "damaged in transition". The phrase ‘damaged in transition’ includes without limitation damage occurring while (a) transporting items to and from the storage space, (b) storing, packing and organizing a storage space at any time during the period for which the booking is valid;

9.6.5 regarding items which were not packed reasonably safely and securely, or which were stored in a way that made it reasonably foreseeable that damage to the items or the premises could occur. By way of example, but not limited to, none of the following would be covered: fragile glass items in cardboard boxes with weighty boxes placed on top of them, unprotected photos stored in a damp environment, or items made of cloth packed in an unsealed bag, or liquids stored without being properly sealed, heavy items placed in areas unable to bear their weight, or items that rust due to a damp environment;

9.6.6 regarding items whose damage was caused by reasonably foreseeable and preventable occurrences (including without limitation fire or burst water pipes) where the Traveler did not take reasonable measures to prevent or limit such damage;

9.6.7 regarding items stored or to the premises by a third party (including without limitation outside contractors engaged by either party, other Angels, or other adults or children residing at or visiting the storage address);

9.6.8 regarding single items valued at less than € 50 (although such items may constitute part of a collective claim for lower-value items);

9.6.9 regarding currency, money, precious metal in bullion form, notes or securities; jewels; works of art or antiques valued at or above € 3000, documents which would be costly or difficult to replace, including without limitation passports or original versions of business contracts, deeds, and certifications or qualification;

9.6.10 regarding items in respect of which the Claimant cannot provide one of the following, to the Company’s reasonable satisfaction: (a) proof of purchase of that item; (b) a photograph/email/video actually sent or received of the item and dated on or before the date of the booking; or (c) any other evidence which demonstrates proof of ownership and/or value;

9.6.11 without prejudice to 9.3.4., claims regarding malicious or criminal damage to items (a) which is not reported to the police within 48 hours of an innocent party becoming aware of it, and in any event within 2 days of the end of the booking period, or (b) where efforts to recover the value thereof (whether via criminal compensation schemes or from existing insurance policies) have been unsuccessful due to Claimant responsibility;

9.6.12 regarding (a) to or caused by Prohibited Item(s) stored, or (b) to any items or property claimed in respect of any booking where Prohibited Item(s) were stored. For the avoidance of doubt, the presence of Prohibited Item(s) will automatically preclude any claim by the Traveler;

9.6.13 regarding any other item stored and/or present at Angel’s place, different from Travelers’ bags. Guarantee will not cover e.g. – without limitation to - goods or personal possessions owned by the Angel, fixtures, fittings or structure of the Angel’s place or premises;

9.6.14 where the damage was caused by or attributable to ordinary wear and tear;

9.6.15 whose loss or damage was caused directly or indirectly by an event of Force Majeure. These include without limitation earthquake, storm, adverse weather conditions or natural physical disasters, power failures, epidemics, labor disputes, riot or civil disorder, war, acts of terrorism, or acts of God;

9.6.16 whose loss or damage was suffered as a result of the theft or misuse of personal data or identity of the Traveler;

9.6.17 whose Online Booking was non fully paid;

9.6.18 regarding indirect losses of any kind, including without limitation loss of profit, goodwill, or business.

10. BAGS COLLECTION, STORAGE, AND RETURN

Once collected by the Angel, the baggage is duly stored. At check-out time, baggage is hand-returned exclusively to the person who has previously performed the check-in and/or duly shows the confirmation receipt to the Angel. Any luggage shipping costs due to Traveler’s delay at check-out time and/or any other breach of these GTCs, will be borne by the latter, unless such costs are incurred due to Angel’s non-fulfilment of the Services.

11. REFUND POLICY

The entire Payment shall be withheld by the Company as Company fee under the mandate received by the Angels in the following cases: (i) Online Bookings cancelled by the Traveler (or Traveler no-show at the Angel’s place), not followed by a request of refund coming from the concerned Traveler; (ii) Angel’s failure to properly perform  check-in and/or check-out procedures during Traveler’s drop-in and drop-off of the luggage. In case of Traveler’s cancellation (or no-show) followed its request of refund, the Company, without prejudice to its right to cash the relevant Company fee, has been instructed and empowered from Angels to withhold the relevant Angel fee concerning the canceller booking and turn it into a "Bag-Voucher" to be utilized by the concerned Traveler for future Services chez the concerned Angel or any other Angel. Traveler will be allowed to consume the Bag-Vouchers by no later than 6 months from issuance. The amount of the Bag-Vouchers not utilized timely, will be cashed by the Company as Company fee. Furthermore, the Company has been instructed and empowered by the Angels to refund Travelers at all cases where an Angel was to cancel the Online Booking due to serious and/or unforeseeable and/or unexpected circumstances jeopardizing the Services.

12. INTELLECTUAL PROPERTY

12.1. Using the Website, Platform and/or Services does not give to Travelers nor Angels ownership of "IPR"- Intellectual Property Rights belonging to the Company, or any information, content or technology that may be provided to, or accessed by, in connection with the use of such Website, Platform and Services. 

12.2. Unless otherwise agreed to in writing by the parties, all Intellectual Property Rights discovered, developed or otherwise created in connection with the Website, the Platform or the performance of the Services will vest in and shall be addressed to the Company.

12.3. Travelers and Angels using the Website, the Platform and receiving or rendering the Services, will remain the owner of their content and related intellectual property rights, if any. At all cases a royalty-free, transferable, worldwide and perpetual license for the Company to use and sub-license any content the Traveler or Angel makes available to the Company (and all intellectual property rights contained therein, to perform or request the Services or any ancillary services, including, without limitation, for marketing purposes), is deemed freely granted by Traveler and Angels to the Company.

13. CONFIDENTIAL INFORMATION

Save as required by law, all information supplied by the Company in relation to the Services, Website, Platform, is confidential and must not be disclosed by the Traveler or Angel to a third party (except professional advisors) without Company written consent. This includes, without limitation, information provided to by the Company in any form (including written and electronic) and by any means (including during any conversations).

14. GENERAL, ONLINE ACCEPTANCE OF THE GTCs AND CHANGES TO THE GTCs

14.1 These GTCs contains the entire understanding between the Company, Travelers and Angels (without prejudice to any other binding agreement and/or special condition agreed between the Company and the Angel, respect to which, in case of inconsistencies between the these GTCs and such binding agreement and/or special condition, the binding agreement and/or special condition will prevail to the extent of the inconsistency), concerning the subject matter of the agreement and supersedes all prior communications and/or non-written agreement. Neither the Traveler nor the Angel relied on any representation received by the Company, not indicated hereby.

14.2 Use of the Website and Platform and Services is subject to acceptance of these GTCs. When creating an Account, Travelers or Angels must accept the present GTCs and check the box on the Checkout page. Only acceptance of the GTCs allows users access to Services offered by Angels. The acceptance of the present GTCs is integral and indivisible: no partial acceptance is permitted. By accepting the present GTCs, the user also accepts the box on the Checkout page within the meaning of the privacy policy.

14.3 These GTCs cannot be amended or varied by the Traveler or Angel who fully and duly accept them as a condition to create an Account and enjoy or render the Services. Neither the Travelers nor the Angels may assign or otherwise deal with any rights or obligations under these GTCs without Company prior written consent. The Company reserves full right to amend, update and apply any change and/or amendment and/or integration to the present GTCs in its sole discretion. For the purpose of their validity, the Company shall notify on its Website the implemented change. Travelers and Angels who have created their Account accepting a previous (non-amended) version of these GTCs, shall be considered to have accepted also the new amended version of the GTCS, at all times a new version of the GTCS is released by the Company as they hereby agree to be bound by such modifications or revisions of the GTCs from time to time implemented. Travelers and Angels, although the Company may attempt to notify major changes are made to the GTCs, are expected to periodically review the most up-to-date version found on the Website. Travelers and Angels agree to periodically review GTCs and refresh the page when doing so. Save as differently provided, all changes are effective immediately when posted by the Company and apply to all accesses to and uses of the Website and/or Platform thereafter. The updated version supersedes any prior versions of GTCs immediately upon being posted, and the prior version(s) shall have no continuing legal effect. If Travelers and/or Angels do not review new GTCs as posted, then they nonetheless agree to have waived their right to do so, and they will be anyway bound by the updated conditions, even where they failed to review the new ones. Failure to review the amended GTCs shall be Travelers’ and/or Angels’ serious omission. By continuing to use the Website subsequent to the Company making available an amended version of these GTCs, users thereby acknowledge, agree to and consent to such amendments.

14.4 If the whole or any part of any clause of these GTCs are illegal or unenforceable, that part or whole of that clause will be severed and will not affect the continued operation of the remaining provisions.

15. APPLICABLE LAW AND JURISDICTION

For anything not expressly hereby indicated, reference is made exclusively to Italian law. To the maximum extend permitted under Italian law and EU regulations, any litigation arising out from and/or anyhow connected to the present GTCs, Website, Platform and Services, shall be submitted to the exclusive jurisdiction of Rome Courts.
